Previous offer was 30% premium **on** $11 per share.

So $15 per share is about 5 percent higher than the previous offer.

Backend rights are easily interpreted many ways. Not surprising that it seems to be the case with this deal.

Basically, it provides a last gasp legal effort for the incumbent.
